Without Employee s express written consent, Employee's assignment to any duties substantially inconsistent with Employee's position, duties, responsibilities and status with Employer immediately prior to a Change in Control, or any removal of Employee from any such position to a position substantially inferior to such prior position;
Without Employee s prior written consent, a relocation of the Employee's place of employment outside of the New York area;
Without Employee s prior written consent, the transfer or relocation of Employee's place of employment to any place other than the Salt Lake City/Provo, Utah metropolitan area, except for reasonable travel on the business of the Company; or
