Withdraw, Withdrawing, or Withdrawal means the withdrawal, resignation, or retirement of a Member from the Company in its capacity as a Member. Such terms shall not include any Dispositions of Membership Interests (which are governed by Article 7), even though the Member making a Disposition may cease to be a Member as a result of such Disposition. 896060.22-WILSR01A - MSW Withdrawn Member has the meaning assigned that term in Section 10.03.
