Wind-Down Cap definition

Wind-Down Cap shall equal the amount set forth in Appendix A to this Exhibit as the “Wind-Down Cap” applicable at the time of early termination of the Agreement.
Wind-Down Cap has the meaning set forth in Section 11(a) of Exhibit 4. Wind-Down Costs – has the meaning set forth in Section 11(b) of Exhibit 4.

Examples of Wind-Down Cap in a sentence

  • Agent’s acceptance of returns shall not impact the Wind-Down Budget or the Wind-Down Cap.

  • Agent’s acceptance of Gift Certificates shall not impact the Wind-Down Budget or the Wind-Down Cap.

  • A shift premium shall be paid to employees regularly assigned shifts, with the exception of employ- ees on incentive or bonus opportunity, of forty-five cents per hour for regularly scheduled shifts commenc- ing at or after 2 p.m. and of fifty cents per hour for regularly scheduled shifts commencing at or after A Sunday premium of one dollar per hour shall be paid for each hour worked on a sched- uled shift that commences on a Sunday which is being paid at the employee’s basic hourly rate.

  • In the event of a claim under any such policies, Merchant shall be responsible for the payment of all deductibles, retentions or self-insured amounts thereunder (which may be reimbursed as an Expense and/or pursuant to the Wind-Down Payment, subject to the Wind-Down Budget and the Wind-Down Cap), unless it is determined that liability arose by reason of the willful misconduct or grossly negligent acts or omissions of Purchaser, or Purchaser’s employees, independent contractors or agents.

  • Any costs incurred by Merchant in connection with providing the Wind-Down Services (as defined below) shall be subject to the Wind-Down Budget and subject to the Wind-Down Cap and Merchant shall have no obligation to provide such Wind-Down Services unless the cost to do so is included in the Wind-Down Budget or provided for as an Expense.
