Wilshire. The Sub-Adviser hereby grants to the Fund a non-exclusive, royalty-free limited license to use the name “Wilshire” (the “Name”) as part of the name of the Fund for the duration of the Agreement. The foregoing authorization by the Sub-Adviser to the Fund to use the Name as part of the name of the Fund is not exclusive of the right of the Sub-Adviser itself to use, or to authorize others to use, the Name; the Sub-Adviser, Fund, and Adviser acknowledge and agree that other funds, including other funds registered as investment companies under the 1940 Act, advised or sub-advised by Sub-Adviser use, or may use in the future use, the name “Wilshire” in the name of such funds and (ii) the Fund shall have the right to use the Name solely in connection with the Fund. The Sub-Adviser agrees to take such action as reasonably may be requested by the Adviser to give full effect to the provisions of this section.
Wilshire is a registered service ▇▇▇▇ of the Sub-Adviser and, to the best of the Sub-Adviser’s knowledge and based on a good faith belief, the Sub-Adviser has the necessary rights to use the name “Wilshire” in connection with the Sub-Adviser’s services to the Fund and, subject to the terms set forth in Section 8 of this Agreement, the Fund shall have the right to use the name “Wilshire” in connection with the name of, and management and operation of, the Fund until this Agreement is terminated as set forth herein. The Sub-Adviser is not aware of any threatened or existing actions, claims, litigation, or proceedings that would adversely affect or prejudice the rights of the Sub-Adviser or the Fund to use the name “Wilshire.”
