  • The parties agree that Retailer shall have the right reasonably to approve independent auditors hired by WHV to conduct an audit, provided that the internal auditors of WHV and/or Time Warner and the accounting firm of Ernst & Young or WHV's then existing auditors shall be deemed pre-approved for any and all audits conducted pursuant hereto.
