On the Closing Date, and immediately prior to the Closing, (i) the Company will effect a dividend to its immediate parent corporation, Chancellor LA, of the Whiteco Shares and (ii) Chancellor LA will cause the Whiteco Shares to be distributed as a dividend with such shares ultimately being held by Chancellor Mezzanine.
