Whiteco means defendant Whiteco Industries, Inc., a Nebraska corporation with its headquarters in Merrillville, Indiana, and its successors, assigns, subsidiaries, divisions, groups, affiliates, partnerships and joint ventures, and directors, officers, managers, agents, and employees.

  • On the Closing Date, and immediately prior to the Closing, (i) the Company will effect a dividend to its immediate parent corporation, Chancellor LA, of the Whiteco Shares and (ii) Chancellor LA will cause the Whiteco Shares to be distributed as a dividend with such shares ultimately being held by Chancellor Mezzanine.
