Westech. As defined in the preamble hereto. References herein to the term "Holders of a majority in aggregate principal amount of Registrable Securities" or words to a similar effect shall mean, with respect to any request, notice, demand, objection or other action by the holders of Registrable Securities hereunder or pursuant hereto (each, an "ACT"), registered holders of a number of shares of then outstanding Common Stock constituting Registrable Securities and an aggregate amount of then outstanding Warrants exercisable for Registrable Securities, such that the sum of such shares of Common Stock and the shares of Common Stock issuable upon exercise of such Warrants constitute in excess of 50% of the sum of all of the then outstanding shares of Common Stock constituting Registrable Securities and the number of shares of Common Stock issuable upon exercise of then outstanding Warrants exercisable for Registrable Securities. For purposes of the immediately preceding sentence, any Holder may elect to take any Act with respect to all or any portion of the Registrable Securities held by it and only the portion as to which such Act is taken shall be included in the numerator of the fraction described in the preceding sentence.
