Except as described in the recitals hereto, this Agreement may not be assigned by operation of law or otherwise without the express written consent of ▇▇▇▇▇▇ and WEST (which consent may be granted or withheld in the sole discretion of ▇▇▇▇▇▇ and ▇▇▇▇).
This Agreement has been duly executed and delivered by ▇▇▇▇, and (assuming due authorization, execution and delivery by the other parties hereto) this Agreement constitutes, a legal, valid and binding obligation of WEST enforceable against WEST in accordance with its terms.
The obligations of WEST to acquire any Transferred Property on the applicable Delivery Date shall be subject to the satisfaction of, or waiver by WEST of, the conditions set forth in Schedule 3, Part 2 hereto.
