The initial term for Website Development Services is twelve (12) months.
Client will be invoiced monthly in arrears for website development services, consulting services and related expenses approved in advance by Client which are not included in the Website Development Services.
Upon termination of this Agreement by either party (but excluding uncured breach of Agreement by Client), Vision Internet shall turn over all compiled code and content required to host the Websites (including but not limited to the “Deliverables” as defined in the Website Development Services Agreement between the parties), within five (5) business days after termination and at no cost to the Client.
To the extent that the Website Development Services Agreement conflicts with this Agreement with respect to the Subscription Services, then the terms and conditions of this Agreement shall supersede and replace any and all conflicting provisions of such prior agreement.
The Parties contemplate that Vendor will perform certain tasks for the Website Development Services to create a new Website and Intranet for the Authority to replace its Existing Websites upon the terms and conditions of this Agreement.
The Client engages the Company as an independent contractor to design, develop, host and maintain the Client Website, as more particularly described in Schedule A, attached hereto and incorporated herein by reference (the "Website Development Services").
After completion of the Wireframe Flow Chart, additional items may be added as the Website Development Services are being performed without additional expense to the Authority.

As used in this SOW, the term “Approval” means the Authority Project Manager’s or Executive Director’s written notice by email to Vendor of acceptance of all Vendor Deliverables upon satisfactory completion of all Website Development Services.
Vendor shall perform the Website Development Services in accordance with the provisions stated in the “ Information Protection and Security Agreement” attached as Appendix B.
