Website Assets definition

Website Assets means the assets owned or controlled by Seller which are listed on Schedule 2.1(h) and which are used in connection with or pertaining to any websites used or operated by Seller or its Affiliates in connection with the Yu-Gi-Oh! Business.
Website Assets means the internet domain names and social media account or usernames (including handles), whether or not Trademarks, associated web addresses, URLs, websites, and web pages, social media sites and pages, in each case registered by any authorized private registrar or Governmental Authority, and all content and data thereon and relating thereto, whether or not Copyrights.
Website Assets means the assets listed on Exhibit 12 as they exist immediately prior to Closing:

Examples of Website Assets in a sentence

  • Concurrently with or promptly after the Closing, MARKETEAM shall send written notification to each of i5ive's vendors, suppliers and other persons with whom it has a similar relationship advising such persons that the Website Assets have been sold to MARKETEAM and i5ive shall have no liability to such persons arising out of transactions engaged in commencing with the time of the Closing.

  • The foregoing security shall be forgiven, discharged and returned to MARKETEAM if there has not been any sale of all or any portion of the Website Assets within one (1) year of the Closing Date or, if there has been any such sale, if the Proceeds of such sale have been paid by MARKETEAM to i5ive.

  • The closing of the purchase and sale of the Website Assets (the "Closing") will take place concurrently with the execution of this Agreement at the offices of i5ive, or such other place as may be mutually agreed upon by the Parties.

  • The CWS Parties shall not sell or otherwise transfer the Website, the domain name(s) therefor, or any assets associated therewith (the “Website Assets”) during the Term without first offering to sell the Website Assets to LQR and negotiating exclusively with LQR for LQR’s purchase thereof.

  • After the twelve (12) month period the employee’s seniority within the bargaining unit is lost.

  • For and in consideration of DOUBLE B's payment of the Initial Option Payment pursuant to Article 1.2, i5ive grants DOUBLE B an option to purchase the Website Assets of I5ive, upon the terms and conditions set out in this Agreement (the "Option").

  • Each Party shall, and shall cause its officers, directors, employees, Representatives, advisers and agents to, maintain the confidentiality of all confidential information furnished to it by the other Party concerning the Website Assets, the i5ive community publishing procedures and protocols, its businesses, operations, and financial position and shall not use such information for any purpose except in furtherance of the transactions contemplated by this Agreement.

  • Except as disclosed in Exhibit 4.5 hereto, all software developed internally, or externally, for use with the Website Assets was developed initially by i5ive employees or has been assigned, including all copyrights therein, to i5ive.

  • Upon DOUBLE B's exercise of the Option, and subject to the terms and conditions of this Agreement, at the Closing i5ive, in exchange for DOUBLE B's payment of the Purchase Price, shall sell, assign, transfer, convey, and deliver to DOUBLE B all of i5ive's right, title, and interest in and to the Website Assets, free and clear of any and all Liens.

  • If the Parties are unable to reach agreement on the purchase or other acquisition by LQR of the Website Assets through exclusive negotiations within ninety (90) days after the date the CWS Parties first notify LQR of the availability of the Website Assets, the CWS Parties shall be free to enter into an agreement with a third party regarding the sale of the Website Assets on terms no more favorable to the third party than the terms that were last offered to LQR.

Website Assets has the meaning ascribed to such term as defined in the first whereas clause.
Website Assets means all of Tritium's rights in and to the websites, domain names, trademarks, service marks and trade names owned, licensed or used by Tritium in connection with the Business, including but not limited to, "▇▇▇.▇▇▇▇▇▇▇.▇▇▇," and including all applications, registrations, licenses, agreements (including but not limited to all web hosting and website maintenance agreements), and other documents related thereto.
Website Assets means the content of Seller's website with the domain name "▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇" as more fully described on Schedule 2.1(a) attached hereto.

Related to Website Assets

  • newly rateable property means any rateable property on which property rates were not levied before the end of the financial year preceding the date on which this Act took effect, excluding –

  • Customer Property means the property, other than real property and IPR, including any equipment issued or made available to the Supplier by the Customer in connection with this Call Off Contract;

  • Information Assets means any information, including Confidential Information, necessary to the operation of either party that is created, stored, transmitted, processed or managed on any hardware, software, network components, or any printed form or is communicated orally. “Information Assets” does not include information that has been transferred from the Disclosing Party to the Receiving Party under applicable laws, regulations and agency guidance, and that is being maintained and used by the Receiving Party solely for purposes that are not Contractor Exchange Functions.

  • Company Intellectual Property Assets means the Intellectual Property Assets used or owned by the Company or any of its subsidiaries.

  • Request regarding a list of collateral means a record authenticated by a debtor requesting that the recipient approve or correct a list of what the debtor believes to be the collateral securing an obligation and reasonably identifying the transaction or relationship that is the subject of the request.
