Water Contractor definition

Water Contractor means each individual independent contractor who is engaged directly or through an entity substantially owned by such individual to provide services to Seller and its Subsidiaries (including Transferred Companies) and provides at least fifty percent (50%) of his or her services to Seller and its Subsidiaries (including Transferred Companies) in connection with the operation of the Water Business. “Water Employee” means each individual who is classified by Seller or its Subsidiaries as an employee (other than as set forth in sub-section (b) of this definition) and expected to provide at least fifty percent (50%) of his or her services to Seller and its Subsidiaries in connection with the operation of the Water Business, or as set forth in Section 11.1(n) of the Disclosure Schedule as a Water Employee (which such individual will not include Automatic Transfer Employees), or, if performing services in the United Kingdom or the European Union (or any other country where automatic transfer of employment may apply), is assigned or dedicated to the Water Business (as reasonably determined by Seller) in each case as set forth on the Water Employee List in Section 2.14(a) of the Disclosure Schedules, including in all cases, (a) any such employee who as of the Closing is on leave of absence including but not limited to vacation or annual leave and (b) any such individual that is providing services to Seller and its Subsidiaries via any employee leasing arrangement, transition services arrangement, professional employer organization, or similar arrangement. “Water Products” means (i) the products listed on Section 11.1(m) of the Disclosure Schedules and (ii) other products sold by Seller or any of its Affiliates (in each case whether or not through 3M) intended for the purification or filtration of water for direct human consumption or food preparation in residential or commercial environments (excluding products utilized in industrial or manufacturing environments). Water Contractor means a party signatory to the Restructured Agreement for Water Supply executed on June 23, 2006, and any amendments or successor agreements thereto.
Water Contractor means any person with current status as a prequalified Water Contractor granted by the Oklahoma City Prequalification Review Board and an Oklahoma City Water Contractor’s license and who meets the requirements of Section A.1. of these Specifications.
