Warrant Exercise Event definition

Warrant Exercise Event means the receipt by Buyer or the Surviving Corporation of cash from the exercise, at any time after the Effective Time, of any common stock purchase warrants of Target which were outstanding as of the Effective Time.
Warrant Exercise Event means any event specified in clause (ii) or (iii) of the definition ofInitial Exercise Date” in the TCP Warrant Agreement as in effect on the date hereof.
Warrant Exercise Event means the occurrence, for FY 1998, as reflected on the Company's FY 1998 Audited Statements, of one or both of the following: (a) Store Contribution is less than or equal to the FY 1998 Store Contribution Percentage of the Company's sales (excluding proceeds from real estate sale-leaseback transactions), or (b) Administration Expense exceeds twenty million dollars ($20,000,000).

  • Notwithstanding anything to the contrary contained ------------ herein, Carlyle shall have all the rights and privileges of, and be treated by the Company for all purposes as, a holder of Mirror Warrants from and after the occurrence of a Warrant Exercise Event, whether or not the Company issues the notice or Mirror Warrants to Carlyle as required by Section 1.

  • The existing legal provision of organizing additional classes for students in need is “neither systematically enforced nor quality controlled”23.

  • If (i) the FY 1998 Audited Statements are issued, and no Warrant Exercise Event has occurred, or (ii) there is a Sale of the Company or an underwritten public offering of shares of the Common Stock before the end of FY 1998, this Warrant shall not become exercisable and shall be cancelled and terminated automatically with no further action by the Company or any Holder hereof required.


More Definitions of Warrant Exercise Event

Warrant Exercise Event means (i) the Company reports $25,000,000 or more of gross sales in any fiscal year in its audited financial statements for such fiscal year, (ii) the Company has a class of securities listed for trading on the New York Stock Exchange, the American Stock Exchange or NASDAQ, (iii) the Company maintains an aggregate market capitalization of the Company’s outstanding capital stock of at least $125,000,000 for twenty (20) consecutive trading days based on the closing prices for the Common Stock as reported on the OTC Bulletin Board or (iv) a Change of Control (provided, that with respect to a Warrant Exercise Event resulting from a Change of Control, the Warrant Exercise Event shall be deemed to occur immediately prior to the occurrence of the Change of Control).

Related to Warrant Exercise Event

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Warrant Exercise Price means $0.04 per share.

  • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • Initial Warrant Exercise Date means __________, 1997.

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Warrant Share Number means at any time the aggregate number of shares of Warrant Stock which may at such time be purchased upon exercise of this Warrant, after giving effect to all prior adjustments and increases to such number made or required to be made under the terms hereof.

  • Current Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date.

  • Warrant Price as used in this Agreement shall mean the price per share at which shares of Common Stock may be purchased at the time a Warrant is exercised. The Company in its sole discretion may lower the Warrant Price at any time prior to the Expiration Date (as defined below) for a period of not less than twenty (20) Business Days, provided, that the Company shall provide at least twenty (20) days prior written notice of such reduction to Registered Holders of the Warrants and, provided further that any such reduction shall be identical among all of the Warrants.

  • Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;

  • Warrant Share means a Common Share issuable upon exercise of one Warrant;

  • Warrant Expiration Date means 5:00 P.M. (New York time) on __________, 2001 or the Redemption Date as defined in Section 8, whichever is earlier; provided that if such date shall in the State of New York be a holiday or a day on which banks are authorized or required to close, then 5:00 P.M. (New York time) on the next following day which in the State of New York is not a holiday or a day on which banks are authorized or required to close. Upon notice to all warrantholders the Company shall have the right to extend the warrant expiration date.

  • Conversion Right has the meaning set forth in Section 4.05(a) hereof.

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.
