Wafer Start means the initial Wafer introduction to a process flow. When the context requires reference to a quantity of “Wafer Starts,” such term shall be expressed in 300 millimeter diameter equivalents.

Wafer Start means the release of one (1) Wafer to the Fabrication Process for processing. IBM/MTC CONFIDENTIAL Confidential materials omitted and filed separately with the Securities and Exchange Commission. Asterisks denote omissions.

• Unique Product of Micron, if any, must be designated for Micron from Wafer Start at the Lehi Fab or the Joint Venture Company's subcontractor's facilities.

• Unique Product of Intel, if any, must be designated for Intel from Wafer Start at the Lehi Fab or the Joint Venture Company's subcontractor's facilities.

• For the avoidance of doubt, wafer starts will be initiated in accordance with the process set forth in Section 4.3 (Wafer Start Planning), while Purchase Orders will be issued for finished goods (i.e., to initiate back-end production on such wafers).

• Newco and DSC (the "U.S. FOUNDRY PARTIES") shall enter into a foundry agreement (the "DSC FOUNDRY AGREEMENT") as soon as practicable after the closing contemplated under the agreement between Toshiba and IBM referred to in Section 5.13, but in no event later than Production Wafer Start Date.

• The Joint Venture Company shall ensure that WIP at its fabs associated with Conforming Wafers other than Shared Design ID Wafers to be purchased by a Purchaser is designated for such Purchaser from Wafer Start.

• If AMD provides notice of cancellation on or after the applicable Wafer Start date for a Product order, then AMD agrees to pay FoundryCo [****], per a mutually-agreed scrap calculation as further described in Exhibit F, for [****] incurred by FoundryCo for the ordered Products under the cancelled purchase order, provided that such [****] may not be reasonably used by FoundryCo in fulfilling subsequent purchase orders.

Wafer Start means the initiation of manufacturing services with respect to a wafer. “WIP” means work in process at the Inotera Fab, including all wafers in wafer fabrication and sort and all completed Conforming Wafers, Pre-Qual Engineering Wafers and Non-Conforming Wafers not yet delivered to the Purchaser or other Persons.

Wafer Start means the initiation of manufacturing services with respect to a Prime Wafer. “Warranty Notice Period” shall have the meaning set forth in Section 6.2.
