  • In such case, and upon such notice from VUS, this Agreement will terminate, and the CMA will remain in full force and effect except as expressly modified herein as to pre-Closing periods and obligations.

  • The obligations thus assumed by VUS will be subject to all defenses, offsets or other limitations provided for in the CMA and/or that would otherwise be available to Oaktown 1 or Oaktown 2.
