VRS Project Services definition

VRS Project Services means (i) the Services described in Attachment A-3 of Exhibit A relating to the development, testing, and delivery of the Legacy Customizations, including all interfaces necessary to ensure an integrated applications environment that supports the automobile rental and maintenance operations of the parts of Newco’s Business known prior to the Effective Date as “Alamo” and “National”; (ii) the Services necessary for the conversion of associated data from the Legacy System to the VRS; (iii) the Services necessary for the implementation and rollout of the VRS to the Supported Sites, including the Legacy Customizations; and (iv) the Services necessary for the decommissioning of the Legacy System.

Examples of VRS Project Services in a sentence

  • Until the completion of the VRS Project Services and as a part of the Base Services, ▇▇▇▇▇ Systems will provide all of the other Base Services for the Legacy System.

  • Within 130 days after the Effective Date (the “VRS Project Proposal Due Date”), ▇▇▇▇▇ Systems will prepare, for Newco’s review and approval, which approval shall not be unreasonably withheld, a fixed-price proposal to complete the VRS Project Services in accordance with the AD&Ds and a mutually-agreed schedule (“VRS Project Proposal”).

  • As part of the Base Services, ▇▇▇▇▇ Systems shall provide the VRS Project Services described in Attachment A-3 of Exhibit A.

  • On the date Newco approves the VRS Project Proposal, the Parties shall execute a Change Order that will include (i) the Detailed FRDs, (ii) the AD&Ds, (iii) the final project plan for the VRS Project, (iv) the change in price, if any, agreed by the Parties for the VRS Project Services (it being acknowledged by the Parties that the Annual Services Charge includes ▇▇▇▇▇ Systems’ price for the VRS Project Estimated ▇▇▇), and (v) the critical external dependencies.

  • Project Services means architectural, engineering services, land surveying, construction management at-risk services, ancillary technical services or other construction-related services determined by the board to be required by the project.
