Unless the majority of the votes cast by holders of Units and Special Voting Unitholders or the Independent Unitholders, as applicable, who vote in respect of such resolution are voted in favour of the continued existence of this Agreement, this Agreement and all outstanding Rights shall, immediately upon the confirmation by the Chairman of such unitholders' meeting of the results of the votes on such resolution and without further formality, terminate and be void and of no further force and effect.
If required by the rules and regulations of any stock exchange on which the Units are then listed, at or prior to the annual meeting of the unitholders of the REIT in the year 2024, and at every third annual meeting thereafter, provided that a Flip-in Event has not occurred prior to such time, the Trustees shall submit a resolution ratifying the continued existence of this Agreement to all holders of Units and Special Voting Unitholders for their consideration and, if thought advisable, approval.
