Voting Documents definition

Voting Documents means:-
Voting Documents means, collectively, the Voting Agreement and the other agreements, instruments and other documents executed and delivered by the Principal Stockholders in connection therewith.
Voting Documents embody the entire agreement and understanding of Shareholder, Record Holder and LCI, and supersede all prior agreements or understandings, with respect to the subject matters of the Voting Documents.

Examples of Voting Documents in a sentence

  • Member Voting Documents must be notarized by a Notary Public who is outside the employ of the Cooperative.

  • The rights and remedies provided in the Voting Documents shall be cumulative and not exclusive of any rights or remedies provided by law.

  • Such appointment and authorization will be deemed given when the Member returns as instructed either (a) a duly executed document in the form prescribed in the Voting Documents (or an envelope that is duly executed on the outside by the person and includes the prescribed form inside), or (b) if authorized by the Voting Documents, a ballot by electronic transmission.

  • Accordingly, notwithstanding clause (a) above, by returning Voting Documents in the manner referred to below, a Member will be deemed to have appointed and authorized the person or persons specified in the Voting Documents to take such action on behalf of the Member as the Member’s proxy and agent.

  • The Voting Documents may name a person or persons selected by the Board of Trustees, the Executive Committee or the Planning/Governance Committee to act as a Member’s proxy and agent for the limited purpose of actually casting votes, signing written consents or ballots, or otherwise acting on behalf of the Member in connection with the specific matter.

  • The Voting Documents shall not give discretionary authority to such person or persons to act on the Member’s behalf other than as set forth in the Voting Documents.

  • Linking these scenarios to our economic value calculation enabled us to estimate the size of the opportunity for further growth.

  • The Voting Documents will be counted at [the place, date and time determined under Rule 13.3.2 or Rule 13.3.3].

Related to Voting Documents

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.

  • Voting Agreements has the meaning set forth in the Recitals.

  • Supporting Documents means all documents and information reasonably requested by the Bank in connection with the opening and operation of any Account, the execution of any Transaction and the provision of any Related Service, including:

  • Constating Documents means, with respect to any Person, its articles and/or certificate of incorporation, amendment, amalgamation or continuance, memorandum of association, charter, by-laws, declaration of trust and other constating documents (in the case of a trust), partnership agreement, limited liability company agreement or other similar document, and all unanimous shareholder agreements, other shareholder agreements, voting trust agreements and similar arrangements applicable to the Person’s Equity Interests, all as in effect from time to time.

  • Instrument of Incorporation means the instrument of incorporation of the ICAV;

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • Constitutive Documents means the Trust Deed or such other documents as defined in the Regulations.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Governing Documents means, with respect to any Person, the certificate or articles of incorporation, by-laws, or other organizational documents of such Person.

  • Voting Instructions means the instructions for voting on the Plan contained in the section of the Disclosure Statement entitled "SOLICITATION; VOTING PROCEDURES" and in the Ballots and the Master Ballots.

  • Articles of Incorporation means the Articles of Incorporation of the Company, as amended from time to time.

  • Voting Debt means bonds, debentures, notes or other indebtedness having the right to vote (or convertible into, or exchangeable for, securities having the right to vote) on any matters on which holders of equity interests in the Company or any Company Subsidiary may vote.

  • Company Governing Documents means the Company Bylaws and the Company Certificate.

  • Voting Agreement has the meaning set forth in the Recitals.

  • Reorganization Documents means the Reorganization Agreement, this Agreement, the Holdco LLC Agreement, the Tax Receivable Agreement, the Exchange Agreement, the Registration Rights Agreement, the Employee Equity Letters, the MIP and the Equity Purchase Agreements.

  • Financing Documents means, collectively, this Agreement, the Note, the Security Documents, the Account Control Agreement and any other agreements, documents or certificates delivered pursuant hereto or thereto.

  • Constituent Documents means with respect to any Person, as applicable, such Person’s certificate of incorporation, articles of incorporation, by-laws, certificate of formation, articles of organization, limited liability company agreement, management agreement, operating agreement, shareholder agreement, partnership agreement or similar document or agreement governing such Person’s existence, organization or management or concerning disposition of ownership interests of such Person or voting rights among such Person’s owners.

  • Merger Documents means, collectively, this Agreement, the Certificate of Merger, and all other agreements and documents entered into in connection with the Merger and the other transactions contemplated hereby.

  • Shareholder Agreements has the meaning set forth in the recitals to this Agreement.

  • Governing Document means any charter, articles, bylaws, certificate, statement, statutes or similar document adopted, filed or registered in connection with the creation, formation or organization of an entity, and any Contract among all equityholders, partners or members of an entity.

  • Securities, documents or other written instruments means original (including original counterparts) negotiable or non-negotiable instruments, or assignments thereof, which in and of themselves represent an equitable interest, ownership, or debt and which are in the ordinary course of business transferable by delivery of such instruments with any necessary endorsements or assignments.   • Certificate of Incorporation means the Company’s Amended and Restated Certificate of Incorporation, as amended and/or restated from time to time.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Restructuring Documents means, collectively, the documents and agreements (and the exhibits, schedules, annexes and supplements thereto) necessary to implement, or entered into in connection with, this Plan, including, without limitation, the Plan Supplement, the Exhibits, the Plan Schedules, the Amended/New Organizational Documents, the Exit Facility Loan Documents, and the Plan Securities and Documents.

  • Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.

  • Underlying Documents means, together, the Contracts, the Refund Guarantees, the Supervision Agreements and the Management Agreements and “Underlying Document” means any of them.
