Notwithstanding the foregoing, the Voluntary Fund within the UPF and the benefits payable or prospectively or contingently payable therefrom and the contributions payable thereto shall be disregarded in determining the Relevant Capital Sum except that there shall be added to the Relevant Capital Sum that part of the Voluntary Fund which is attributable to those Transferring Members who join the Purchaser's Pension Scheme on the Scheme Change Date and who agree to the transfer of their Voluntary Fund.

The Vendor shall nevertheless use its reasonable endeavours to procure that the part of the Voluntary Fund attributable to the Transferring Members in accordance with the provisions of the Vendor’s Scheme is transferred to the Purchaser’s Scheme on the Payment Date.
The Seller shall nevertheless use its reasonable endeavours to procure that the part of the Voluntary Fund attributable to the Transferring Employees in 128 accordance with the provisions of the Seller's Scheme is transferred to the Purchaser's Scheme on the Payment Date.
The Company shall (together with all Holders proposing to distribute their securities through such underwriting) enter into an underwriting agreement in customary form with the managing underwriter selected pursuant to the final paragraph of this Section 2.2(b).
Payments to the Local l4-l4B Pension Fund, Welfare Fund, Annuity Voluntary Fund, Annuity Fund, Defense Fund, Union Assessment and Training Program shall be by the purchase of a consolidated stamp.
