Voluntarily Withdraw definition

Voluntarily Withdraw or “Voluntary Withdrawal” means a Member’s dissociation with the Company other than in connection with a Permitted Transfer or an Involuntary Withdrawal.
Voluntarily Withdraw means and refers to a Member’s dissociation from the Company by means other than Involuntary Withdrawal and includes an intentional attempt to Transfer any Units, Membership Rights or Economic Interest in violation of Section 8.1. A Voluntary Withdrawal is deemed to be a wrongful dissociation unless permitted under Section 8.1.
Voluntarily Withdraw means a Limited Partner’s decision to withdraw as a Limited Partner of the Partnership.

Examples of Voluntarily Withdraw in a sentence

  • No Member shall have the right or power to Voluntarily Withdraw from the Company and any Member who shall voluntarily withdraw shall be in intentional breach of this Agreement.

  • No Member who shall Voluntarily Withdraw shall be entitled to receive, in liquidation of his Interest, pursuant to Section 25-10 of the Act or otherwise, the fair value of the Member’s Interest on the date of Voluntary Withdrawal.

  • No Member shall have the right or power to Voluntarily Withdraw from the Company.

  • No Member shall have the right or power to Voluntarily Withdraw from the Company, except as otherwise provided by this Agreement.

  • So long as IFMI owns a majority of the outstanding Units, IFMI may Voluntarily Withdraw only with the unanimous consent of the Board.

  • No Limited Partner shall be entitled to Voluntarily Withdraw from the Partnership.

  • A Manager may Voluntarily Withdraw from the position of Manager upon thirty (30) days written notice to the Company.

  • In the event that IFMI no longer owns a majority of the outstanding Units, (a) IFMI may Voluntarily Withdraw as of the end of any quarter upon fifteen (15) days’ prior written notice to the General Partner, (b) at any other time with the unanimous consent of the Board, or (c) so long as there is no more than one (1) IFMI Manager, with the consent of the Board.
