Upon Roy’s receipt of the Void Notice, Roy’s may elect to accept a lower purchase price which has the effect of eliminating said dilutive effects of Outback’s acquisition, which election must be exercised by written notice to Outback within five (5) business days after receipt of the Void Notice (the “Lower Price Notice”).
