VOD Rights means the exclusive right to offer, transmit, exhibit, distribute and promote each Program, the Series and Program elements and/or segments on any VOD service(s). “Video On Demand” or “VOD” shall mean the exhibition of programming on any Reception Device on an on-demand, non- downloadable basis, such that the viewer can start such programming upon the viewer’s selection and thereafter control the playback of such programming and for which a fee, subscription or on a general subscription basis for access to such programming, shall not be charged. VOD services shall include, without limitation, any services distributed by any means of technology, including, but not limited to the Internet.

VOD Rights means the right to use, exploit and publish Content on the basis of AVOD, FVOD, SVOD and or TVOD. Terms not defined in Clause 1(a) above but defined in the Cover Note or the Agreement (as the case may be) shall have the meanings ascribed to them therewith. All references herein to "days" shall mean calendar days, unless otherwise indicated. References to a time of day shall mean such time in Bangladesh, unless otherwise indicated. The headings of the Clauses in this Agreement are for convenience only and shall not affect the interpretation of this Agreement. Whenever the words "include", "includes", "including" or "among other things" are used in this Agreement, they shall be deemed to be followed by the words "without limitation". Words indicating the singular only also include the plural and vice-versa, where the context so requires. The Agreement consists of the Cover Note, the General Terms and any Annex(es) annexed herewith. All parts of the Agreement are intended to be complementary and what is set forth in any one document is deemed to form an integral part of this Agreement and binding as if set forth in each document. In the event of any conflict, discrepancy, error or omission among any parts of the Agreement, either party shall immediately notify the other party and both parties shall decide how to remedy such conflict, discrepancy, error or omission. Subject to the foregoing, and unless otherwise specified herein, the parts of the Agreement should take the following order of precedence: Cover Note; Any Annex(es) annexed to this Agreement; and Genera Terms of the Agreement.

Examples of VOD Rights in a sentence

  • For the avoidance of doubt Channel 4 shall not exploit the VOD Rights (subject to Clause 23) or authorise exploitation of the VOD Rights outside the Territory.
