VOD Availability Date definition

VOD Availability Date with respect to a program shall mean the date on which such program is first made available for exhibition hereunder as specified in Section 4.2 of the VOD General Terms.

VOD Availability Date means, with respect to any VOD Included Program, the date specified by CDD on which Amazon is entitled to commence VOD Customer Transactions with respect to such VOD Included Program on the Service; provided, however, solely with respect to 4K Included Programs distributed pursuant to the 4K Rights, the VOD Availability Date shall mean the 4K VOD Availability Date.

Examples of VOD Availability Date in a sentence

  • Licensor shall not be obligated to establish a Library VOD Availability Date for any Library Film except as may be required under Section 8.4.

  • Licensor shall provide Licensee with a written notice setting forth the Current VOD Availability Date, the Current VOD License Period, the Initial U.S. Theatrical Release Date and the Home Video Street Date for each Current VOD Program no later than 90 days prior to such Current VOD Program’s Current VOD Availability Date; provided that incidental failures to meet such timing shall not be a breach of this Agreement.

  • With respect to Canada, Licensor shall license to Licensee the following VOD Included Programs hereunder: (a) all Current Films with a VOD Availability Date during the VOD Avail Term and (b) at least three hundred (300) Library Films during each VOD Avail Year.

  • The VOD License Fee for each VOD Avail Year during the VOD Avail Term shall be the aggregate total of all VOD Per-Program License Fees due for all VOD Included Programs whose VOD Availability Date occurs during each such VOD Avail Year, calculated as set forth below.

  • Licensor shall provide Licensee (i) within 30 days of the Effective Date, a list of Library Films available for license hereunder on a Video-On- Demand basis with respect to Term Year 1 and (ii) by September 1 of each Term Year, a list of Library Films available for license hereunder on a Video-On-Demand basis with respect to the following Term Year, specifying the Library VOD Availability Date and the Library VOD License Period for each Library Film (each of the foregoing, a “Library VOD List”).

  • If no VOD Announce Date with respect to a Within Fifteen Days Included Program is specified by Licensor, Licensee shall not pre-promote any Within Fifteen Days Included Program more than sixty (60) days prior to its VOD Availability Date unless otherwise directed by Licensor.

  • Each payment of the VOD Annual Minimum Fee for a VOD/SVOD Avail Year shall be applied against the aggregate total of all VOD Per-Program License Fees earned for all VOD Included Programs with a VOD Availability Date in such VOD/SVOD Avail Year.

  • For each VOD/SVOD Avail Year, the “VOD License Fee” equals the greater of (a) the aggregate total of the VOD Per-Program License Fees due for all VOD Included Programs with a VOD Availability Date in such VOD/SVOD Avail Year and (b) the VOD Annual Minimum Fee for such VOD/SVOD Avail Year.

  • Licensee shall license from Licensor as VOD Included Programs hereunder: (a) all Current Films with a VOD Availability Date during the VOD/SVOD Avail Term, and (b) at least 30 Library Films in each VOD/SVOD Avail Year.

  • The VOD License Period for each VOD Included Program shall commence on its VOD Availability Date and shall expire on the date established by Licensor in its sole discretion; provided, that the VOD License Period for each Current Feature shall end no earlier than the earliest of (i) 60 days after its VOD Availability Date (ii) the date on which Licensor’s “standard” residential Video-On-Demand window for the Territory ends and (iii) the termination of this Agreement for any reason.

Related to VOD Availability Date

  • Final Availability Date means the earlier of the Revolving Termination Date and one (1) Business Day prior to the date specified in clause (a) of the definition of Revolving Termination Date.

  • Availability Date means the day after the end of the fourth fiscal quarter following the fiscal quarter that includes such Effective Time on which the Company is required to file its Form 10-Q for such fiscal quarter except that, if such fourth fiscal quarter is the last quarter of the Company’s fiscal year, “Availability Date” means the day after the end of such fourth fiscal quarter on which the Company is required to file its Form 10-K.

  • Required Availability means Excess Availability and unrestricted cash and Cash Equivalents in an amount of not less than $5,000,000.

  • Delayed Draw Availability Period means the period from and including the Closing Date to and including the earlier of (a) the date that is the first anniversary of the Closing Date and (b) the date of termination of all of the Delayed Draw Commitments.

  • Average Availability means, with respect to any period, the sum of the aggregate amount of Availability for each Business Day in such period (calculated as of the end of each respective Business Day) divided by the number of Business Days in such period.
