VIVUS may condition disclosure of attorney-client privileged information or attorney work product on the Parties’ execution of a joint defense agreement, common interest agreement, or similar agreement intended to preserve attorney-client and attorney work product privileges under Applicable Law, in a form reasonably acceptable to VIVUS.
VIVUS will supply Product to Purchaser in the form of bulk tablets.

VIVUS is not obligated to accept verbal orders of any kind for the supply of Product hereunder.
VIVUS representatives will be permitted to participate as observers during any such inspection and audit.
A copy of any such disclosure to Purchaser shall also be provided to VIVUS.
