VISI Transaction definition
VISI Transaction means the right of the Company and its ---------------- Subsidiaries to acquire additional stock of Visual Intelligence Systems, Inc., a Texas corporation, upon the conversion of a Convertible Subordinated Note Due 2007 in the principal amount of $1,970,000 plus certain other events as more specifically described in the Securities Purchase and Loan Agreement dated June 23, 1997 among Castle Tower Holdings Corp. (now Crown Castle International Corp.), Visual Intelligence Systems, Inc. and the Shareholders of Visual Intelligence Systems, Inc. named in Schedule I of such agreement.
