The Vion Acquisition Closing Date shall have occurred on or before the Long Stop Date.

Any notice pursuant to this Agreement to be given by the Holder of any Warrant or the holder of any Share to the Company shall be sufficiently given or made three business days after sent by first-class mail, postage prepaid, addressed as follows or to such other address as the Company may designate by notice given in accordance with this Section 12, to the Holders of Warrants or the holders of Shares: Vion Pharmaceuticals, Inc.

If VION obtains patent protection for any Improvements, Vion shall have a worldwide, exclusive (except for ▇▇▇▇▇ or its sublicensee in the Territory), royalty free, perpetual license to such Improvements and such Improvements shall be deemed VION Licensed Patents hereunder.
