The Grantee shall indemnify, defend and hold harmless the City, its officers, employees, and agents (the “Indemnitees”) from and against any injuries, claims, demands, judgments, damages, losses and expenses, including reasonable attorney’s fees and costs of suit or defense (the “Indemnification Events”), arising in the course of the Grantee constructing and operating its Video System within the City.

For purposes of this Section, the terms “proprietary or confidential” include, but are not limited to, information relating to the Video System design, customer lists, marketing plans, financial information unrelated to the calculation of Franchise Fees or rates pursuant to FCC rules, or other information that is reasonably determined by the Grantee to competitively sensitive.
The Grantee shall pay to the City a Franchise Fee in an amount equal to five percent (5%) of annual Gross Revenues received from the operation of the Video System to provide Video Service in the Franchise Area; provided, however, that Grantee shall not be compelled to pay any higher percentage of fees than any other video service provider, under state authorization or otherwise, providing service in the Franchise Area.
The Grantee shall provide capacity for the City’s noncommercial Public, Educational and Governmental Access (“PEG”) Programming through Grantee’s Video System consistent with the requirements set forth herein.
Provided PEG signal feeds are delivered by the City to the designated signal input point without material degradation, the PEG Channel(s) delivery system from the designated signal input point shall meet the same FCC technical standards as the remainder of the Video System set forth in this Agreement.
Provide detail such as the brand and model number used to prepare the budget; for example, “VideoKing TX-90, $5,600,” as opposed to “One Video System, $75,000,” Installation,” $50,000," or “Wiring, $100,000.” (Note that RUS approval of a project budget for application purposes does not constitute specific approval to purchase a particular brand of equipment if a grant is made.
Enforcement – Replace In-Car Video System & Add Body Cams: $550,000 (100% special) [one-time funding] This request is for replacing 40 in-car video systems and adding 40 body cameras.
These include: Responding to the scene of a Categorical Use of Force (CUOF); Assisting a primary investigator with interviewing involved officers; Reviewing Body-Worn Video, Digital In-Car Video System footage, and any other digital evidence; e Conducting interviews of witnesses, gathering evidence, and establishing chain-of- custody for relevant property; and, e Drafting portions of the complete investigation narrative.
