New Offices definition

New Offices means additional offices opened by LongKey, LK-Wuxi of any affiliate thereof for the purposes of the sale and distribution of products or services subjected to this Agreement and the 2011 Agreements, irrespective whether Peak has provided funding for the establishment of same pursuant to Article 4 of this Agreement. In the event that any payment required under this Agreement is not paid on the due date such payment is due, interest shall accrue from the due date at a rate equal to the lower of 12% per annum or the maximum lawful rate in accordance with applicable laws and shall be added to and paid with such payment as late payment charge. Provisions of the 2011 Agreements not expressly modified, amended or replaced by this Agreement shall remain in full force and effect, fully enforceable in accordance with their terms.

  • All other provisions of this Article IV shall apply to any such New Offices.

  • Any New Offices developed by the parties pursuant to this Section 7.5 will be automatically included in this Agreement as a component of the Center, and the parties' responsibilities and obligations in respect to the New Office's operations will be as described in this Agreement.
