VFN Commitment Holders definition
VFN Commitment Holders means BNP Paribas, London Branch and any other bank or financial institution whose short term, senior, unsecured, unguaranteed debt securities are rated no less than “P-1” by Moody’s and no less than “A-1” by S&P and whose long term, senior, unsecured, unguaranteed debt securities are rated no less than “A1” by Moody’s at the time of entry by it into the Variable Funding Notes Purchase Agreement, which becomes a VFN Commitment Holder after the Issue Date, in accordance with the Variable Funding Notes Purchase Agreement.
