Reference is made to the Credit Agreement dated as of July 8, 2011 (as amended, supplemented or otherwise modified from time to time, the “Credit Agreement”), among VFH LLC, a Delaware limited liability company (“Holdings”), VFH Parent LLC, a Delaware limited liability company (the “Borrower”), the Lenders party thereto and Credit Suisse AG, Cayman Islands Branch, as Administrative Agent.

Failure to adhere to the requirements of this Agreement by Rasier or any Rasier Partner may result in, among other things, fines or penalties in an amount equal to the fines o r p en al t i es for similar violations under the City’s VFH Code, or termination of this Agreement, at the City’s discretion.
