Vessel Entity definition
Vessel Entity means, with respect to each Vessel, the Company Group Member or Joint Venture Entity that owns or is otherwise associated with such Vessel, as described on Section 5.14 of the Sellers Disclosure Schedule. “Willful Breach” means, with respect to any party, a material breach of this Agreement by such party that is a consequence of a willful or deliberate act or omission undertaken by such party with the knowledge that the taking of or the omission of taking of such act would, or would reasonably be expected to, cause or constitute a material breach of this Agreement.
