Vessel Assets definition

Vessel Assets means the Vessels and any assets that are customarily owned or operated in conjunction with the Vessels, in each case.
Vessel Assets means whether on board or ashore, (i) all engines, boilers, machinery, masts, boats, anchors, cables, chains, tackle, apparel, furniture, capstans, outfit, tools, pumps, pumping and other equipment, gear, lashings, furnishings, appliances, fittings and other personal property appertaining or belonging to each Transferor Vessel and all spares and replacement parts, in each case which are required to maintain such Transferor Vessel’s class certification, excluding hired or leased items listed on Schedule II hereto, (ii) any propellers and propeller shafts appertaining or belonging to each Transferor Vessel, (iii) all plans, drawings and other technical documents, logs, manuals, instruction books and classification records, including special surveys, relating to each such Transferor Vessel, provided, each Transferor shall be required to maintain spares required to maintain such Transferor Vessel’s class certification, but shall not otherwise be required to replace spares used in the ordinary course of business.

Vessel Assets means all of the following, other than the Excluded Assets: (i) all engines, boilers, machinery, masts, boats, anchors, cables, chains, tackle, apparel, furniture, capstans, outfit, tools, pumps, pumping and other equipment, gear, lashings (including a full complement of all components of container lashing equipment sufficient in number to carry a full load of 40' containers), furnishings, appliances, fittings and other personal property appertaining or belonging to any of the Vessels referred to in Recital B hereof and all spares and replacement parts, in each case which are on board each such Vessel to the extent required by Section 6(c) of the below defined Bareboat Charter at the time the Vessel is redelivered to by Matson by APL in accordance with the provisions of said Bareboat Charter, (ii) the two shoreside propellers and two shoreside propeller shafts identified in Exhibit A attached hereto, (one such propeller and shaft relating to the C-8s and the other to the C-9s), (iii) all plans, drawings and other technical documents, logs, manuals, instruction books relating to each such Vessel, and (iv) certain intellectual property or rights with respect thereto relating to each such Vessel which are listed in Schedule 1(a) attached hereto and which shall be sold, licensed or otherwise transferred to Matson in accordance with the APL End User License Agreement referred to in SECTION 4.3 hereof.
Vessel Assets means, collectively, (i) the Owned Vessels and (ii) the JV Vessels.

  • Mortgage Assets The Mortgage Loans to be included in the Trust Fund are as described in Annex A hereto.

  • Fixed Assets means Equipment and Real Estate.

  • General Assets shall have the meaning given it in Section 3.6(a) hereof;

  • Mortgaged Vessel means, at any relevant time, any Vessel which is at such time subject to a Mortgage and a Vessel shall, for the purposes of this Agreement, be regarded as a Mortgaged Vessel as from the date on which the Mortgage of that Vessel has been executed and registered in accordance with this Agreement until whichever shall be the earlier of (i) the payment in full of the amount required to be paid to the Agent pursuant to clause 4.3 or 4.5 following the Total Loss or sale respectively of such Vessel and (ii) the end of the Facility Period;

  • Fleet Vessels means all of the vessels (including, but not limited to, the Ships) from time to time wholly owned by members of the Group (each a “Fleet Vessel”);

  • Specified Assets the following property and assets of such Grantor:

  • Liquid Assets mean Borrower's cash on hand plus Borrower's readily marketable securities.

  • Additional Assets means (1) any property or other assets used or useful in a Similar Business, (2) the Capital Stock of a Person that becomes a Restricted Subsidiary of the Issuer as a result of the acquisition of such Capital Stock by the Issuer or another Restricted Subsidiary or (3) Capital Stock constituting a minority interest in any Person that at such time is a Restricted Subsidiary of the Issuer; provided, however, that any Restricted Subsidiary described in clause (2) or (3) above is engaged in a Similar Business.

  • Material Assets means with respect to any Person all material interests in any kind of material property or asset, whether real, personal or mixed, or tangible or intangible.

  • Real Property Assets means as to any Person as of any time, the real property assets (including, without limitation, interests in participating mortgages in which such Person’s interest therein is characterized as equity according to GAAP) owned directly or indirectly by such Person at such time.

  • Mortgaged Real Property means (a) each Real Property identified on Schedule 1.01(a) hereto and (b) each Real Property, if any, which shall be subject to a Mortgage delivered after the Closing Date pursuant to Section 5.11(c).

  • Income Property means, in respect of each Sub-Fund, (a) all interest, dividends and other sums deemed by the Trustee, (after consulting the auditors either on a general or case by case basis), to be in the nature of income (including taxation repayments, if any) received or receivable by the Trustee in respect of the Deposited Property of the relevant Sub-Fund (whether in cash or, without limitation, by warrant, cheque, money, credit or otherwise or the proceeds of sale or transfer of any Income Property received in a form other than cash); (b) all interest and other sums received or receivable by the Trustee in respect of (a), (c) or (d) of this definition; (c) all cash payments received or receivable by the Trustee for the account of the relevant Sub-Fund in respect of an Application; and (d) all Cancellation Compensation received by the Trustee for the account of the relevant Sub-Fund; (e) any payments to be received or are receivable by the Trustee under any contractual agreements in the nature of investments for the benefit of the relevant Sub-Fund but excluding (i) the Deposited Property; (ii) any amount for the time being standing to the credit of the distribution account for the account of the relevant Sub-Fund or previously distributed to Unitholders; (iii) gains for the account of the relevant Sub-Fund arising from the realisation of Securities; and (iv) any sums applied towards payment of the fees, costs and expenses payable by the Trust from the Income Property of the relevant Sub-Fund;
