Upon request by a Member, the Company shall Deploy the Vertical Technology in w▇▇▇▇ owned by a Member or its Affiliates in accordance with a master service agreement approved by the Member or its Affiliate and the Company.
Notwithstanding the foregoing, and for greater certainty, Technovita Technologies Corporation shall have the right to Deploy the Vertical Technology in w▇▇▇▇ owned by it or its Affiliates in Canada, and Novas USA shall have the right to Deploy the Vertical Technology in w▇▇▇▇ owned by it or its Affiliates in the United States.
None of the Members nor any of their Affiliates shall be obligated to account to the Company or to the other Member for any profits or income earned or derived from other such activities or businesses (except in the event that the Company Deploys the Vertical Technology on behalf of a Member or one of its Affiliates on w▇▇▇▇ owned by a Member or one of its Affiliates, in which case such Member will pay market prices to the Company for the provision of such services).
Members and their Affiliates shall pay market price for the Deployment of Vertical Technology in their owned w▇▇▇▇, and the Company shall prioritize the treatment schedule of all Deployments of Vertical Technology made pursuant to this Section 7.15 relative to third-party customers.
The purpose and scope of the Company shall include any lawful action or activity permitted to a limited liability company under the Act; provided, however, that the Company’s principal purpose shall be the Deployment of the Vertical Technology and the provision of incidental services.
The Company shall be the exclusive service provider of Vertical Technology in the United States of America and Canada pursuant to the terms and conditions of the Sublicense Agreements.
