VENDOR PROPRIETARY TOOLS definition

VENDOR PROPRIETARY TOOLS means proprietary tools including help desk tools, systems proprietary processes, procedures or methodologies owned or used by Vendor or Vendor’s Third Party Vendors in the delivery of the Services, as listed in Exhibit x. (to be completed during negotiations)
VENDOR PROPRIETARY TOOLS means the Tools and Related Documentation owned, acquired or developed by or on behalf of Vendor, excluding in each case the NYPH New Intellectual Property, and used in connection with the provision of the Services.

Related to VENDOR PROPRIETARY TOOLS

  • Proprietary Software means any proprietary software (other than any software that is generally commercially available, off-the-shelf and/or open source) including, without limitation, the object code and source code forms of such software and all associated documentation, which is owned by or licensed to the Company or any Subsidiary or with respect to which the Company or any Subsidiary is authorized or granted rights under or to.
