Vendor Properties definition

Vendor Properties means Service, Documentation and Customizations, and all Vendor technology, software, data, methodologies, improvements, and documentation, used to provide or made available in connection with Services, Documentation, and Customizations, and all intellectual property and proprietary rights in and to the foregoing.

Examples of Vendor Properties in a sentence

  • All of Vendor Properties, buildings, fixtures and improvements thereon leased by Vendor are in good operating condition and repair (subject to ordinary wear and tear).

  • Other than the license granted in Section 2.2, nothing in this Agreement shall be construed to transfer any right, title or interest to the Customer of the Vendor Properties or any Intellectual Property Rights therein.

  • The Vendor will deliver to Purchaser all necessary documents in registrable form in order to validly and effectively transfer legal and beneficial title to the Vendor Properties to Purchaser, which Purchaser will be entitled to register such Vendor Properties accordingly, subject to the grant to the Vendor of a 1% NSR Royalty on the Properties.

  • The Customer may not access, use, resell, sell, license, sublicense, distribute, make available, rent or lease the Vendor Properties or any Intellectual Property Rights therein for any purpose, except as expressly authorised by this Agreement.

  • As between the parties, all right, title, and interest in and to Vendor Properties is owned by Vendor notwithstanding any other provision in this Agreement.

  • The Customer disclaims all rights to the Vendor Properties and all Intellectual Property Rights therein, other than those rights expressly granted in this Agreement, and will assert no claim (copyright, patent or otherwise) to their use, development and/or production.

  • The Customer agrees to respect and not to remove, obliterate or cancel from view any copyright, trademark, confidentiality or other proprietary notice, mark or legend appearing on the Vendor Properties or output generated by the Vendor Properties.

  • Vendor Properties constitute all interests in real property currently used or currently held for use in connection with the Business by Vendor and which are necessary for the continued operation of the Business by Vendor as the Business is currently conducted in the Ordinary Course.

  • Without limiting the foregoing, any and all goodwill associated with the Customer’s use of the Vendor Properties or the Intellectual Property Rights therein will inure to the benefit of the Vendor.

  • All rights associated with the Vendor Properties, including without limitation all copyrights, patents, and trade secrets, shall remain the sole and exclusive property of the respective Service Vendor.

Related to Vendor Properties

  • Subject Properties has the meaning specified in Section 5.13(a).

  • Real Properties means, at any time, a collective reference to each of the facilities and real properties owned, leased or operated by the Consolidated Parties at such time.

  • The Properties means and refer to all such existing properties, and additions thereto, as are subject to this Declaration or any Supplemental Declaration under the provisions of Article II, hereof.

  • Other Properties shall have the meaning set forth in Section 9.1.

  • Initial Properties means collectively the Properties listed on Schedule 1.1 and “Initial Property” means any of such Properties.
