Vendor Material definition

Vendor Material means a one page, front and back, eight and one-half inch by eleven inch document which, at a minimum, identifies the vendor, describes the product being offered, includes the vendor’s contact information, and includes the premium or cost of the product.

  • No Vendor Material Adverse Effect will have occurred since the date of this Agreement.

  • Infrastructure shall comply with the escrow provisions below for all Public Material and Proprietary Vendor Material (including subcontractor-owned materials and other Third Party Material incorporated in SI for Compute Infrastructure’s Proprietary Material), except to the extent SI for Compute Infrastructure demonstrates to the satisfaction of MITS that compliance is not permitted by the nature of SI for Compute Infrastructure’s limited rights in such material.

  • Vendor shall obtain Exelon’s written approval prior to incorporating any Vendor Material into any Developed Material.

  • Any Vendor Material that is Software (i) that will be used to provide the Services, (ii) that would be required by the PBC or its designee for the continuity of the System and/or services like the Services after the expiration or termination of this Agreement and (iii) that is material to the performance of the Services and/or the operation of the System is referred to herein as the “Critical Licensed Software”).
