Vendor Location(s) definition
Vendor Location(s) means premises owned or solely controlled by vendors of Borrower who possess Inventory of Borrower for processing and/or return shipment to Borrower or shipment to customers of Borrower. Any accounting terms used in this Agreement, unless otherwise indicated, shall have the meanings customarily given to them in accordance with generally accepted accounting principles (“GAAP”). All other terms contained in this Agreement, unless otherwise indicated, shall have the meanings provided by the Uniform Commercial Code of the state set forth in Section 15(b) (“Code”) to the extent the same are defined therein.

Vendor will perform, or cause to have performed, once each year, audits of the privacy, data and physical security procedures and controls in effect at the Vendor Locations where Services are provided.
All Vendor Locations are subject to the following daily rental fees.
Upon reasonable prior written notice and subject to confidentiality and security policies at Vendor Locations, ACI shall have the right to audit Vendor’s ACI Inventory at any time during the Term of the Agreement to determine whether the ACI Inventory satisfies the ACI Inventory Service Levels.
Vendor will provide for call monitoring a remote access 800# and associated VDNs for all Vendor Locations.
