Vendor Creditor definition

Vendor Creditor means each person to whom a Vendor Debt is owed, as listed in Part 2 of Schedule 6; and
Vendor Creditor means any hire purchase ▇▇▇▇▇▇▇nt, credit Arrangement" sale agreement, conditional sale agreement or other deferred purchase agreement or agreement for the hiring or leasing of any property or asset whatsoever to which the Company or any of the Subsidiaries is a party or by which it can be bound;
Vendor Creditor means any of the Collateral Trustee or any Trade Creditor and "Vendor Creditors" means all of them, collectively.

Examples of Vendor Creditor in a sentence

  • Each Vendor Creditor waives personal service of any and all process upon it, and each Vendor Creditor consents that all service of process be made in the manner set forth in Section 13 by serving notice solely on Collateral Trustee.

  • The Vendor Creditors agree that Senior Creditors shall be entitled to manage and supervise their loans in accordance with applicable law and their usual practices, modified from time to time as they deem appropriate under the circumstances, without regard to the existence of any rights that any Vendor Creditor may now or hereafter have in or to any assets, and without the necessity of notice to or receipt of consent of the Vendor Creditors.

  • Each Vendor Creditor hereby assumes responsibility for keeping itself informed of the financial condition of any Credit Party and of all other circumstances bearing upon the risk of nonpayment of the Senior Indebtedness or any amounts outstanding under the Trade Creditor Program Documents, and agrees that no Senior Creditor shall have any duty to advise it of information known to such Senior Creditor regarding such condition or any such circumstances.

  • Any Vendor Creditor that receives any such payments or distributions shall hold such payments or distributions in trust for the Senior Agent and shall deliver the same promptly to the Senior Agent.

  • Senior Creditor means a holder or holders of Senior Indebtedness and includes any representative or representatives, agent or agents or trustee or trustees of any such holder or holders;

  • Vendor Agent - means any person mandated by a prime vendor or consortium/joint venture to do business for and on behalf of, or to represent in a business transaction, the prime vendor and thereby acquire rights for the prime vendor or consortium/joint venture against CIPC or an organ of state and incur obligations binding the prime vendor or consortium/joint venture in favour of CIPC or an organ of state.

  • Junior Creditor means any Defaulting Bank which has not (x) fully cured each and every default on its part under the Loan Documents and (y) unconditionally tendered to the Administrative Agent such Defaulting Bank’s Pro Rata Share of all costs, expenses and disbursements required to be paid or reimbursed pursuant to the terms of the Loan Documents.

  • Senior Creditors means creditors of the Issuer: (a) who are unsubordinated creditors of the Issuer; (b) whose claims are, or are expressed to be, subordinated to the claims of unsubordinated creditors of the Issuer but not further or otherwise; or (c) whose claims are, or are expressed to be, junior to the claims of other creditors of the Issuer, whether subordinated or unsubordinated, other than those whose claims rank, or are expressed to rank, pari passu with, or junior to, the claims of the Holders in a winding-up in respect of the Securities (and, for the avoidance of doubt, Senior Creditors shall include holders of Tier 2 Capital instruments);

  • Senior Lender means each holder of a Senior Note.
