Vendor/Consultant. Name: ________________________________________ Corporation: Yes No Tax ID Number: ________________________________________ Social Security Number: EXHIBIT A CONSULTANT SERVICES STATEMENT OF WORK Consultant will perform the following tasks and have the following responsibilities: Project Objective This Consulting Agreement allows the Company to utilize Consultant's professional knowledge, experience and judgment (including Consultant's in-depth knowledge of accounting matters relating to the Company and its affiliates) in the transition period beginning with Consultant's termination of employment by the Company. .
Vendor/Consultant. A vendor/consultant is defined as a person, company or entity who is not an employee of the Participant or Subscriber who acts to assist a RETS Participant or Subscriber in performing downloading, manipulation or formatting or receiving, presenting, housing, as well as programming and web design or distributing the RETS data over the Internet or by any other method to members of the public. Such vendor/ consultants must agree to comply with this Agreement. Consumer: A consumer is a member of the public, an end user, who has access to the RETS data through the public website of a RETS Participant or Subscriber and who is seeking a property for their own use or is seeking general information for their personal use but not for a business use. Firm: The entity under which the Participants/Subscriber is doing business. Vendor/Consultant IDX/RETS Data Access Agreement Version 1.2 MLS 1/21/2014 mad/kdh PAGE 1 of 7 RETS Database (RETSdb): The current aggregate compilation of only ACTIVE, PENDING and SOLD listings of all Real Estate Transaction Standard Participant/Subscribers of the Nevada County Association of REALTORS® MLS. Those listings where the property seller has opted out of Internet publication by so indicating on the listing agreement are excluded. The NCAOR MLS own the RETSdb Data and the RETSdb compilations are protected under copyright law. Real Estate Transaction Standard Participant (RETSP): The Participant who has not declined to give permission to other RETSP’s and their agents to display its Active, Pending and Sold listings on their websites in return for their permission to advertise their listings on its public web site. RETS Data: The data supplied by the MLS specifically for use by the RETSParticipant/Subscriber on their public websites. It includes only those data fields from the MLS that are approved for distribution to the public by Participants/Subscribers as outlined in the NCAOR IDX Policy. Listings: For the purpose of this document, listings are defined as Active, Pending and Sold listings only. Active, Pending and Sold listings are listings that are not a cancelled, withdrawn or expired status. Smart-Framing: A program provided through Rapattoni that allows IDX data to be displayed on a Participant/ Subscriber’s public website in a framed window without the need to download the data.

Examples of Vendor/Consultant in a sentence

  • Vendor/Consultant shall reimburse District and its directors, officials, officers, employees, agents and volunteers, for any and all legal expenses and costs incurred by each of them in connection therewith or in enforcing the indemnity herein provided.

  • During the term of the contract, or longer if required, the Vendor/Consultant shall maintain, at its expense, Worker's Compensation, Disability and liability insurance policies of the types and minimum coverages specified in the enclosed contract template (e.g., Agreement for Vendor Services).

  • Vendor/Consultant shall defend, at Vendor/Consultant’s own cost, expense and risk, any and all such aforesaid suits, actions or other legal proceedings of every kind that may be brought or instituted against the District, its directors, officials, officers, employees, agents or volunteers.

  • Vendor/Consultant shall pay and satisfy any judgment, award or decree that may be rendered against District or its directors, officials, officers, employees, agents or volunteers, in any such suit, action or other legal proceeding resulting from services rendered by Vendor/Consultant.

  • With the concurrence of the Vendor/Consultant, the extension may be for a period of up to three months in lieu of the up to two month period.

  • If a Vendor/Consultant fails to perform or otherwise breaches the, in addition to any other rights and remedies the County may have, Vendor/Consultant may be listed as non-responsible and may be ineligible for future contract awards.

  • The County's contract obligation is contingent upon execution of the contract between the County and selected Vendor/Consultant, Vendor's/Consultant's provision of Pay-to-Play Forms (if applicable) and required insurance certificates and bonds (as applicable), and the availability of appropriated funds for this contract.

  • You may reproduce this contract and create a separate Vendor/Consultant Information and Signature form for each individual/company to whom you intend to provide access to the NCAOR IDX/RETS data under this agreement.

  • All tolls and parking charges will be reimbursed, except as follows: if a Vendor/Consultant chooses to rent a car and drive to a destination rather than fly, then parking charges incurred for parking the Vendor’s car will not be reimbursed.
