Vendor Background IP definition

Vendor Background IP means any methodologies, patterns, plans, procedures, Software, algorithms, computer code, documentation, tools, business processes, scripts, interfaces, commands, technical information, know-how, techniques, specifications, technologies and/or other Intellectual Property that is proprietary to the Vendor or which Vendor has the right and licence to use and make available to Metrolinx, and all documentation related to any of the foregoing, in each case that was either: (a) created prior to the Effective Date; or (b) created, developed or produced independently of this Contract and/or the performance of the Work.
Vendor Background IP means Intellectual Property that is not Work Product, that Vendor uses in the performance of the Services and that Vendor can show was developed independently of this Contract;
Vendor Background IP means the IP related to U.S. Patent No. 7,939,239 namely “technology relating to illumination sources and subjects having distinctly matched and mismatched narrow spectral bank” that is owned by or licensed to Vendor.

More Definitions of Vendor Background IP

Vendor Background IP means any Intellectual Property of the Supplier, or any Third Party Property licensed by a third party to the Supplier, that is conceived, created, or developed either prior to or in the course of providing the Services, but Vendor Background IP specifically excludes ONTC Background IP;
Vendor Background IP means any pre-existing Intellectual Property that VENDOR owns or has the right to license. Unless a certain component or feature is otherwise specifically indicated, the CP and the Spare Parts are VENDOR Background IP.
