  • The Borrower will use the proceeds of the 2022 Incremental Term Loans to fund (i) the payments contemplated to be made under the Vectrus Merger Agreement in connection with the Vectrus Merger, (ii) the Vectrus Refinancing, (iii) the redemption of the Company Preferred Stock (as defined in the Merger Agreement), (iv) fees, expenses and premiums incurred in connection with the foregoing and transactions related thereto and (v) working capital and general corporate purposes.
