  • Each holder of Vector Shares who otherwise would have been entitled to receive a fraction of a share of DSL Common Stock shall receive in lieu thereof cash (rounded to the nearest whole cent), without interest, in an amount determined by multiplying such holder's fractional interest by the DSL Stock Price.
