  • On the other hand, VDQ represents and warrants to SALIC that on this date VDQ is not a party to any agreement that conflicts with the provisions under this Agreement.

  • The Company and VDQ undertake to endeavor their best efforts to cooperate and perform the Secondary Public Offering as set forth in this Section.

  • During the term of this Agreement, the Company shall be the sole vehicle of VDQ and SALIC for development of the Restricted Activities in Brazil.
