Examples of VC Fund in a sentence
If (i) Indemnitee is affiliated with one or more venture capital funds that has invested in the Company (each a “VC Fund”), (ii) a VC Fund is a party to or a participant in any legal proceeding, and (iii) the VC Fund’s involvement in the legal proceeding arises solely as a result of Indemnitee’s service to the Company as a director of the Company, then the VC Fund shall entitled to all of the indemnification rights and remedies under this Agreement to the same extent as Indemnitee.
The Company further agrees that no advancement or payment by [Name of VC Fund] on behalf of Indemnitee with respect to any claim for which Indemnitee has sought indemnification from the Company shall affect the foregoing and [Name of VC Fund] shall have a right of contribution and/or be subrogated to the extent of such advancement or payment to all of the rights of recovery of Indemnitee against the Company.
To the extent that any such Tender and Support Agreement grants to any VC Fund rights thereunder that are more favorable to such VC Fund than the rights of the VC Shareholder set forth herein, or waives a material obligation of such VC Fund that is also set forth herein, the Investor agrees that it shall offer the same rights or waiver, as applicable, to the VC Shareholder.
If (i) any VC Fund is, or is threatened to be made, a party to or a participant in any Proceeding, and (ii) such VC Fund’s involvement in the proceeding is related to Indemnitee’s Corporate Status, then, to the extent resulting from any claim based on the Indemnitee’s Corporate Status, such VC Fund will be entitled to indemnification hereunder for Expenses to the same extent as Indemnitee.
The specific names of the Pre-seed Fund and the VC Fund shall be specified in the Funding Agreement(s) Indicative funding allocation for the Financial Instrument Subject to the qualifications and terms set out in the Call for Expression of Interest, total financing of EUR 13.5 million is expected to be available for the implementation of the Financial Instrument.

The sizes and proportions of the Pre-seed Fund and the VC Fund shall be presented in the Business Plan.
For purposes of this Agreement, “Initial Limited Partner Disclosure” means the information set forth on Exhibit I to the Merger Agreement and “Estimated Future Payment Information” means reports limited to the form and information on the attached Exhibit 3, which provides an estimate by a VC Fund of the dollar amount of the Milestone Payments to be paid in the successive two year periods following the Closing.
