VARIATION, CANCELLATION AND WAIVER. 35.1 No addition to, variation, waiver of any right or consensual cancellation of the Agreement will be of any effect unless in writing and signed by or on behalf of both Parties.

Subject to clause 5 and clause 12, MTN's rights to stipulate and amend the Terms of Use from time to time, no contract varying, adding to, deleting from or cancelling this Agreement, and no waiver of any right under this Agreement, shall be effective unless reduced to writing and signed by or on behalf of the parties. This Agreement shall be executed by requiring the parties to sign two identical Agreements, both of which shall serve as originals.

VARIATION, CANCELLATION AND WAIVER. This Agreement contains all the amendments to the Term Loan Facility Agreement and neither of the Parties shall be bound by any undertakings, representations, warranties or promises made, in respect of such amendments, which are not recorded herein.
