If an Event of Default specified in Section 6.01(6) or (7) occurs in respect of the Company and is continuing, the Variable Principal Amount, and any accrued and unpaid interest (or, if the Securities have been converted to quarterly coupon notes following a Tax Event, the Restated Principal Amount, plus accrued interest) on all the Securities shall become and be immediately due and payable without any declaration or other act on the part of the Trustee or any Securityholders.
The "accreted conversion price per share" of Common Stock as of any day equals the quotient of: - the Variable Principal Amount on that day, divided by - the number of shares of Common Stock issuable upon conversion of $1,000 Original Principal Amount of Securities on that day.
