Variable Management Fee definition

Variable Management Fee means the fees payable to the Advisor or its assignees pursuant to Section 10(f).
Variable Management Fee is defined in Section 5.1(a).
Variable Management Fee means an amount equal to 2.40% of Pretax Net Income.

Examples of Variable Management Fee in a sentence

  • CLIENT shall pay to VENUWORKS a Variable Management Fee, over and above the Base Management Fee, equal to forty percent (40%) of the savings or reduction in the budgeted annual operating subsidy resulting from Revenues in excess of the amounts projected and the management of both operating and event expenses.

  • For example, if the City approved an annual operating subsidy of $200,000 and the actual operating subsidy for the fiscal year is $180,000, VENUWORKS would earn a variable incentive fee of $8,000 (calculated as $200,000 approved subsidy, less $180,000 actual subsidy x 40%).The Variable Management Fee for any given year shall not exceed the Base Management Fee for that year.

  • The Variable Management Fee will be due to VENUWORKS by the 15th day of the second month following the close of the fiscal year in which the Revenues were realized.

  • VENUWORKS, as part of the invoicing process, shall also provide documentation supporting the payment of the Variable Management Fee.

  • The Variable Management Fee will be due to VENUWORKS by the 30th day of the month following the month in which it was invoiced to City and only after the Revenues were realized.

  • CITY shall pay to VENUWORKS a Variable Management Fee, over and above the Base Management Fee, equal to;  5% of Gross Food & Beverage (F&B) Sales, less taxes and commissions paid to third party concession providers and non‐profit organizations.

  • Should VENUWORKS fail to meet the budgetary target for a given fiscal year, it shall refund the shortfall up to the amount of the total Variable Management Fee as defined above.

Related to Variable Management Fee

  • Base Management Fee means the base management fee, calculated quarterly in arrears, equal to 25% of the Fee Amount;

  • Asset Management Fee shall have the meaning set forth in Section 8.02.

  • Investment Management Fee means each of the Senior Investment Management Fee, the Subordinated Investment Management Fee and the Incentive Investment Management Fee.

  • Management Fee has the meaning given in Section 4.1.

  • Incentive Management Fee shall have the meaning set forth in Section 9.2(e) hereof.

  • Collateral Management Fee means each of the Senior Management Fee, the Subordinated Management Fee and the Incentive Collateral Management Fee.

  • Management Fees means, with respect to each Project for any period, an amount equal to the greater of (i) actual management fees payable with respect thereto and (ii) three percent (3%) per annum on the aggregate base rent and percentage rent due and payable under leases at such Project.

  • Credit Risk Management Fee The amount payable to the Credit Risk Manager on each Distribution Date as compensation for all services rendered by it in the exercise and performance of any and all powers and duties of the Credit Risk Manager under the Credit Risk Management Agreements, which amount shall equal one twelfth of the product of (i) the Credit Risk Management Fee Rate multiplied by (ii) the Stated Principal Balance of the Mortgage Loans and any related REO Properties as of the first day of the related Due Period.

  • Advisory Fee shall have the meaning given to it in Section 2.2(f) hereof.

  • Professional Fee Amount means the aggregate amount of Professional Fee Claims and other unpaid fees and expenses that Professionals estimate they have incurred or will incur in rendering services to the Debtors prior to and as of the Confirmation Date, which estimates Professionals shall deliver to the Debtors as set forth in Article II.B of the Plan.

  • Monthly Fee means the total consideration, including but not limited to, equipment or locker rental,

  • Annual Fee has the meaning stated in Section 4.02(a).

  • Incentive Fee shall have the meaning set forth in the Prospectus.

  • Services Fee means, collectively, the Senior Services Fees and the Subordinated Services Fees.

  • Advisory Fees means financial advisory fees, closing fees, transaction fees, monitoring fees, oversight fees and similar fees, expenses and indemnities payable by the Loan Parties pursuant to the Advisory Agreement, but in the case of any such fees not to exceed the amounts payable in respect thereof under the Advisory Agreement as in effect on the Closing Date.

  • contingency fee means any payment or other compensation that is contingent upon or is calculated upon the basis of a degree of success in soliciting or obtaining a Government contract or negotiating the whole or any part of its terms;
