• The Tenant is authorized and hereby covenants and agrees to carry out on behalf of the Landlord, and shall otherwise perform all obligations of the Landlord under the Cypress Permit and the VANOC Agreement, at the sole cost and expense of the Tenant.

• Copies of all correspondence by Tenant and its employees, agents and consultants with the Province or VANOC shall be retained by Tenant and delivered to Landlord promptly upon request.

• Without limiting the foregoing, Lessee shall not participate in or permit the construction or installation of any Improvements other than those expressly contemplated by the terms of the VANOC Agreement (as such Agreement may hereafter be modified and amended by VANOC and Lessor).

• The Landlord hereby appoints the Tenant to carry out all of the obligations of Landlord under each of the Cypress Permit and the VANOC Agreement.

• The authority herein granted shall include the power to administer and manage the day to day responsibilities of Lessor, and to do any act and to make any decision with respect the VANOC Agreement necessary to carry out such obligations.

• Lessee shall at all times during the Term and at any other time that Lessee shall be in use and occupancy of the Cypress Premises, continuously use and operate the Personal Property solely for commercial purposes in strict compliance with the terms of the Cypress Permit, the VANOC Agreement, and Applicable Laws, and shall use reasonable commercial efforts to seek to maximize Gross Revenues.
