Vanilla Shell definition

Vanilla Shell as used in the preceding sentence, shall mean the usual and customary interior improvements made available to new tenants by landlords for similar space in the Retail Area of the Project including customary demising walls, covered with drywall ready for paint, a floor slab ready for tenant's floor covering, a t-bar hung ceiling, and excluding the cost of improvements normally paid or incurred by a new tenant. If such rentals and other consideration received from such reletting during any month shall be less than that to be paid during that month by Tenant hereunder, Tenant shall pay any such deficiency to Landlord. Such deficiency shall be calculated and paid monthly. No such reentry or taking possession of the Premises by Landlord shall be construed as an election on its part to terminate this Lease unless a written notice of such intention shall be given to Tenant or unless the termination thereof shall be decreed by a court of competent jurisdiction. Landlord shall be entitled to recover from Tenant any Base Rent which would otherwise have been payable under the terms of this Lease but for concessions or abatements previously granted by Landlord to Tenant, provided that such recovery shall be subject to reduction based on the rents or other considerations received by Landlord from any replacement tenant. Notwithstanding any such reletting without termination, Landlord may at any time thereafter elect to terminate this Lease for such previous default. Should Landlord at any time terminate this Lease for any default, in addition to any other remedies it may have, it may recover from Tenant all damages it may incur by reason of such default, including the actual and reasonable cost of recovering the Premises, reasonable attorneys' fees, and including the worth at the time of such termination of the excess, if any, of the amount of Base Rent reserved in this Lease for the remainder of the Lease Term over the then reasonable rental value of the Premises for the remainder of the Lease Term, all of which amounts shall be discounted to present value at the rate of six percent (6%), immediately due and payable from Tenant to Landlord. Vanilla Shell means (i) the removal of all floor coverings, (ii) the removal of all wall coverings and the walls are ready for paint, (iii) the removal of all interior, non-structural partition walls, (iv) the repair and/or replacement of any damaged T-Bar ceiling and/or ceiling tiles and (v) the repair of any damaged caused by the foregoing items. Tenant acknowledges that restoring the Premises to a "vanilla shell" condition will involve the removal of certain interior improvements that were constructed by the former tenant and Tenant agrees to do so as provided herein. All alterations, additions and improvements which Landlord has not required Tenant to remove shall become Landlord's Property and shall be surrendered to Landlord upon termination of the Lease, except that Tenant may remove any of Tenant's machinery or equipment which can be removed without material damage to the Property. Tenant shall repair, at Tenant's sole cost and expense, any damage to the Premises and/or Property caused by the removal of any such machinery or equipment. In no event, however, shall Tenant remove any of the following materials or equipment without Landlord's prior written consent: any power wiring, power panels or electrical distribution systems, security systems, heaters, air conditioners or any other heating or air conditioning equipment. Tenant shall, at its cost and expense, repair any damage to the Premises or the Shopping Center by such removal, including restoring the sign fascia to its original condition and capping off all utilities

Examples of Vanilla Shell in a sentence

  • At a minimum, Landlord's work shall consist of the Building, all exterior landscaping and other work, HVAC and electrical sized and designed for Tenant's needs, plus a "Vanilla Shell" interior.

  • Accordingly, Landlord shall provide Tenant a construction allowance relative to the construction of the Required Tenant Improvements (i.e., those improvements to be made to the Demised Premises as part of Landlord’s Work in excess of Warm Vanilla Shell condition of the Building) in an amount not to exceed EIGHTY DOLLARS ($80.00) per Rentable Area of the Demised Premises (the “Tenant Improvement Allowance”).

  • New sub-panels installed by the Tenant using the Restaurant Vanilla Shell Allowance.

  • Landlord shall provide a Restaurant Vanilla Shell Improvement Allowance (Allowance) of $150,000 which shall be used by the Tenant for the construction of its improvements.

  • Tenant shall install floor covering within the Premises, except for the one (1) restroom supplied by Landlord, if applicable, as part of the Vanilla Shell.

  • B) Seller shall, at its sole cost and expense, complete the construction of the buildings and other improvements currently under construction shown on the Site Plan attached hereto as Exhibit B as Retail A, Retail B and Retail D pursuant to the Vanilla Shell specifications set forth on Exhibit K attached hereto, no later than the Phase II Lease Expiration Date, or sooner as may be required by a Phase II Lease.
