Borrowers shall permit Lender to interface its Value Track System~ to Borrowers’ data files and will assist Lender in completing and maintaining such interface such that the interface can interpret, track and reconcile the Accounts Detail File provided by Borrowers.
The provisions of this Contract shall be effective in all cases unless otherwise prohibited by Washington State Law or applicable Federal Law.
In addition, the Provider shall have paid the Administrator all fees due in connection with its due diligence review and the installation of the Value Track System and the Provider shall have reimbursed the Administrator for its reasonable legal fees (whether incurred with respect to outside or in-house legal counsel) and expenses incurred in connection with the preparation and negotiation of this Agreement.
