Value Added Partner definition

Value Added Partner means licensees who acquire both Hardware and Licensed Software to run on this Hardware as a bundle or subsequently within a reasonable time frame, and redistribute both, Hardware and Licensed Software in its ordinary course of business directly to End-Users, either as a bundle or subsequently within a reasonable time frame; for the avoidance of doubt, a party solely licensing or redistributing Licensed Software or solely purchasing Hardware from Vanderbilt shall not be eligible to a license under this Agreement.

  • If, as a result of an audit, any use of the Licensed Software and Software Documentation not in conformity with this Agreement is detected, Vanderbilt is entitled to charge Value Added Partner for liquidated damages to the amount of the license fees.

  • The Value Added Partner shall forfeit its right to liquidated damages if the Value Added Partner has not lodged a claim in writing for such damages within three (3) months after the time when delivery should have taken place.

  • The Value Added Partner may solely at its own cost, employ at least one (1) experienced sales person who is knowledgeable concerning the functions and advantages of the Services and at least one (1) experienced technical person who is knowledgeable concerning the functions, specifications and advantages of the Services.

  • ENTERPRISE METRIC SUITE SOLUTION LLC shall not be responsible for any disclosure, modification or deletion of any Customer Data and Value Added Partner Data resulting from any such access by Non- ENTERPRISE METRIC SUITE SOLUTION LLC Application providers.

  • Value Added Partner shall be authorized to copy the Licensed Software and Software Documentation to the extent necessary to exercise the license rights set forth in this Agreement.

  • Publicly traded partnership means any partnership, an interest in which is regularly traded on an established securities market. A “publicly traded partnership” may have any number of partners.

  • Exchange-Traded Product or “ETP” means a security traded on an exchange that: (i) tracks an underlying security, index or financial instrument; or (ii) uses a benchmark index but whose manager(s) may change sector allocations, market-time trades, or deviate from the index. The term “ETP” includes, among other things, exchange-traded funds (“ETFs”), exchange-traded notes (“ETNs”) and exchange-traded commodities (“ETCs”).

  • Value added means that portion of the bid price not constituting the cost of materials;

  • Value Added Services means services that offer or provide unique, special, or enhanced value, benefits, or features to the customer or user including but not limited to services in which information technology is specially designed, modified, or adapted to meet the special or requested needs of the user or customer; services involving the delivery, provision, or transmission of information or data that require or involve additional processing, formatting, enhancement, compilation, or security; services that provide the customer or user with enhanced accessibility, security, or convenience; research and development services; and services that are provided to support technological or statutory requirements imposed on participating agencies and other governmental entities, businesses, and the public.

  • value added service means any service which requires the processing of traffic data or location data other than traffic data beyond what is necessary for the transmission of a communication or the billing thereof;
